Effective: June 1, 2025
This Marketplace Vendor Agreement ("Agreement") is between CuzHens LLC ("CuzHens", "we") and you (the "Vendor"). By signing up as a Vendor on cuzhensmarketplace.com you accept this Agreement in addition to our Terms of Service.
1. Vendor eligibility
- You must be at least 18 and legally allowed to sell food or farm goods in your state.
- You are responsible for obtaining and maintaining any cottage-food, food-handler, dairy, meat, or other license required by your local jurisdiction.
- You represent that you have the right to sell every item you list.
2. Listings
- Listings must be accurate: name, photos, growing practices, allergens, expected pickup window, and any disclaimers.
- Photos must depict the actual product (or be clearly labeled as a stock representation).
- Misleading claims ("organic" without certification, "USDA inspected" when not, etc.) are prohibited.
- We may remove listings that violate this Agreement or applicable law.
3. Fees, premium membership & payouts
- A free tier is provided with limited features (e.g., 1 upcoming event, no map, no verification badge).
- A premium subscription unlocks unlimited events, the storefront map, social posts, the Verified badge eligibility, and priority placement. Pricing is shown at checkout.
- Premium is billed monthly. If billing fails or the membership lapses, premium-only features (including the Verified badge) are automatically removed until reactivation.
- Once online payments are enabled (Stripe Connect), CuzHens charges a marketplace fee per order (disclosed at the time payouts go live). Payouts arrive on Stripe's standard schedule.
4. Food safety & product responsibility
- The Vendor is solely responsible for product quality, food safety, accurate allergen labeling, and any harm caused by the products.
- The Vendor agrees to defend, indemnify, and hold CuzHens harmless from any claim related to a product the Vendor lists or sells.
- The Vendor must promptly cooperate with any recall, investigation, or customer complaint.
5. Verification badge
The Verified badge indicates CuzHens has reviewed basic identity / location info and that the farm is currently an active premium member. Verification does not mean CuzHens has inspected your farm, audited your practices, or guarantees your products. If your premium membership ends, the Verified badge is automatically removed.
6. Communication
- Respond to customer chats within a reasonable time (we recommend 24 hours).
- Provide a working pickup address or coordinated pickup point.
- Notify customers as soon as a listed item is sold out.
7. Prohibited items
Vendors may not list:
- Anything illegal in their jurisdiction.
- Recreational cannabis or controlled substances.
- Live animals for slaughter at the customer's home unless allowed by state law.
- Counterfeits, stolen goods, or items the Vendor doesn't own.
- Anything that violates the Acceptable Use policy.
8. Suspension & termination
We may remove listings, freeze, suspend, or terminate Vendor accounts that violate this Agreement, fail food-safety standards, accumulate excessive customer complaints, or harm the marketplace reputation. We may also terminate without cause with 14 days notice; you may close your Vendor account at any time.
9. Independent contractor
Nothing in this Agreement creates an employment, partnership, joint-venture, or franchise relationship. The Vendor operates as an independent business.
10. Taxes
The Vendor is responsible for all sales, use, and income taxes related to its activity on the marketplace. Once online payments are live, CuzHens may collect and remit certain taxes where required by marketplace-facilitator laws.
11. Changes
We may update this Agreement. Material changes will be emailed to active Vendors at least 14 days in advance.
